Content: The report considers an increase to the remuneration of Non-Executive Directors (NEDs) for the Council’s wholly owned companies of Cheshire West and Chester Leisure CIC, trading as Brio Leisure (Brio) and Cheshire West Recycling Limited (CWR). That a total uplift in Non-Executive Directors (NEDs) remuneration, at a cost of £1486.20 for Cheshire West and Chester Leisure CIC, trading as Brio Leisure (Brio) and £1710.00 for Cheshire West Recycling Limited (CWR) respectively for the financial year 2025/26 be approved. These amounts will be distributed proportionally across the appointed NEDs for both companies. 1) Non-Executive Directors play a crucial role on the board of council-owned companies, offering independent oversight and strategic guidance. The importance of effective company boards is underscored by published best practice. 2) The proposed uplift reflects the continued strategic contribution of the NEDs from both companies in supporting delivery of each company’s strategic objective and ensures remuneration is in line with public and private sector comparable companies. The Non-Executive Directors from both companies continue to be remunerated at their current amounts.
