Purpose: To seek approval from Cabinet for officer delegation to make adjustments to the Development Facility Agreement (DFA) and any future changes to RDCHC agreements.

Content: Cabinet received and considered Minute SEC25/12 arising from the meeting of the Shareholder Executive Committee (SEC) held on 21 January 2026 regarding the performance position of the Council’s wholly owned company, Rother DC Housing Company (RDCHC) for the period October to November 2025.  Whilst it was for the SEC to monitor performance, it was for Cabinet to consider and approve any funding issues.    Following a review of the provision within the Development Facility Agreement (DFA), it was proposed that the DFA was amended to enable monthly drawdowns, instead of quarterly as current, to improve RDCHC’s cashflow management.  This proposal was supported by both the Finance team and the Corporate Development Team, who had confirmed that the change would be manageable and deliverable.   Cabinet agreed that the DFA should be amended to enable monthly drawdowns and that delegated authority be granted to the Director of Resources, in consultation with the Cabinet Portfolio Holder for Finance and Governance to make operational amendments to the DFA on the Council’s behalf only and not on behalf of RDCHC.   RESOLVED: That:   1)     the proposed amendments to the Development Facility Agreement be agreed to enable monthly drawdowns; and   2)     delegated authority be granted to the Director of Resources, in consultation with the Cabinet Portfolio Holder for Finance and Governance, to make operational amendments to the Development Facility Agreement on behalf of the Council, with all delegations exercised reported to the following Shareholder Executive Committee meeting.
